Please read these terms carefully. They explain the rules that apply when you access or use ListIT.

Welcome to ListIT.

These Terms govern your access to and use of the ListIT Service. By using ListIT, you agree to these Terms. If you do not agree, you should not use the Service.

Welcome to ListIT.

These Terms and Conditions ("Terms") govern your access to and use of the ListIT mobile application, websites, vendor dashboard, online catalogues, customer ordering interfaces, and related products, features, and services (collectively, the "Service").

ListIT is a product operated by WoraCode ("WoraCode", "ListIT", "we", "us", or "our").

By accessing or using ListIT, creating an account, creating or sharing a catalogue, or submitting an order through ListIT, you agree to these Terms.

If you do not agree to these Terms, you should not use the Service.

1About ListIT

ListIT is a digital catalogue and commerce-enablement platform designed primarily for businesses.

ListIT allows businesses, sellers, wholesalers, manufacturers, distributors, retailers, and other commercial users ("Vendors") to create digital product catalogues and share them with prospective buyers through channels such as WhatsApp, Instagram, Facebook, email, messaging services, websites, and other digital platforms.

Customers and prospective buyers ("Customers") can access Vendor catalogues, review products and submit orders or order requests through the ListIT customer interface.

Unless expressly stated otherwise, ListIT:

  • does not manufacture or own products listed by Vendors;
  • is not the seller of products listed in Vendor catalogues;
  • does not take title to products offered by Vendors;
  • does not guarantee the availability or quality of Vendor products;
  • does not provide shipping or delivery services; and
  • does not process payments between Customers and Vendors through the Customer ordering interface.

ListIT primarily provides technology that enables Vendors and Customers to interact.

2Definitions

For these Terms:

"Account" means a registered ListIT user account.

"Vendor" means a business or individual using ListIT to create, manage, publish or share products, catalogues or receive orders.

"Customer" or "Buyer" means a person or business accessing a Vendor's catalogue or submitting an order or enquiry.

"Catalogue" means a digital product catalogue, storefront, collection, product page or similar content created using ListIT.

"Vendor Content" means product information, photographs, videos, logos, descriptions, pricing, business information and other content submitted by a Vendor.

"Order" includes an order, purchase request or order request submitted by a Customer through ListIT.

"Service" means the ListIT mobile application, website, vendor portal, customer-facing interfaces and related ListIT services.

3Eligibility

You must be legally capable of entering into a binding agreement under applicable law to create and operate a ListIT Vendor Account.

If you use ListIT on behalf of a company, partnership, proprietorship or other organisation, you represent that you have authority to accept these Terms on behalf of that organisation.

You are responsible for ensuring that your use of ListIT complies with laws applicable to you and your business.

Part A

TERMS APPLICABLE TO VENDORS

4Vendor Accounts

Certain ListIT features require registration.

When creating an Account, you agree to provide accurate, current and complete information.

You are responsible for:

  • maintaining accurate Account and business information;
  • maintaining the confidentiality of your login credentials;
  • restricting unauthorised access to your Account;
  • activities conducted through your Account; and
  • promptly notifying ListIT if you become aware of unauthorised access.

ListIT may request reasonable information to verify an Account or business.

We may reject, restrict or suspend an Account where we reasonably believe information supplied is false, misleading or fraudulent.

5Vendor Responsibility

Each Vendor operates independently.

The Vendor is solely responsible for the products and services it advertises, lists, offers or sells.

This includes responsibility for:

  • product quality;
  • authenticity;
  • safety;
  • legality;
  • product descriptions;
  • photographs and videos;
  • specifications;
  • pricing;
  • discounts;
  • taxes;
  • minimum order quantities;
  • inventory and availability;
  • warranties;
  • shipping;
  • delivery;
  • invoicing;
  • cancellations;
  • returns;
  • replacements;
  • refunds; and
  • after-sales service.

ListIT does not verify every product or representation made by Vendors and does not guarantee that Vendor Content is accurate.

6Product Listings and Catalogues

Vendors must ensure that information contained in their ListIT catalogues is accurate and not misleading.

A Vendor must not deliberately provide incorrect information regarding a product's:

  • price;
  • condition;
  • origin;
  • brand;
  • availability;
  • specifications;
  • quantity;
  • warranty;
  • authenticity; or
  • other material characteristics.

Prices and other commercial information displayed in a Vendor catalogue are determined by the Vendor and not by ListIT unless expressly indicated otherwise.

7Vendor Content

Vendors may upload content including product photographs, descriptions, logos, trademarks, business names, documents and other materials.

The Vendor retains ownership of its Vendor Content.

By uploading Vendor Content to ListIT, the Vendor grants WoraCode a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, resize, format, display and distribute that content solely as reasonably necessary to operate, provide, secure, improve and promote the ListIT Service.

The Vendor represents that it owns the Vendor Content or otherwise has the necessary permission and rights to use and provide that content to ListIT.

Vendors must not upload content that infringes another person's copyright, trademark, privacy, publicity or other rights.

8Prohibited Products and Activities

ListIT must not be used to offer, promote or facilitate products, services or activities prohibited by applicable law.

This includes, where prohibited or restricted by applicable law, products or content involving:

  • illegal goods or services;
  • counterfeit products;
  • stolen goods;
  • fraudulent products or schemes;
  • unlawful drugs or controlled substances;
  • weapons or other unlawfully restricted items;
  • obscene or unlawful content;
  • products infringing intellectual property rights;
  • products that cannot legally be sold by the Vendor; or
  • activities intended to deceive or defraud Customers.

ListIT may remove listings or suspend Accounts that violate these requirements.

9Vendor Compliance

Vendors are responsible for obtaining registrations, licences, permits, tax registrations and approvals required for their business and products.

Where legally required, Vendors are responsible for issuing invoices and complying with applicable taxation requirements, including GST requirements where applicable.

ListIT's provision of software does not constitute confirmation that a Vendor or its products comply with applicable law.

Part B

CUSTOMER AND ORDER TERMS

10Customer Access

Customers may access catalogues shared or published by Vendors.

Certain customer features may be available without creating a ListIT Account.

Customers must provide accurate information when submitting an Order, including applicable contact and delivery information.

Customers must not knowingly submit fraudulent, false or malicious Orders.

11Orders

ListIT provides technology that allows Customers to communicate an Order or purchase request to a Vendor.

Submitting an Order through ListIT does not necessarily mean that the Vendor has accepted the Order.

Unless expressly stated otherwise, an Order should be considered a request submitted to the Vendor and remains subject to the Vendor's confirmation, product availability, pricing, delivery requirements and other applicable conditions.

The Vendor is responsible for confirming or rejecting the Order and completing the transaction with the Customer.

12Pricing

Product prices are established by individual Vendors.

ListIT does not guarantee that prices displayed by a Vendor are accurate or current.

If there is a pricing discrepancy, the Vendor and Customer should resolve the matter before completing their transaction.

Vendors are responsible for clearly communicating applicable taxes, shipping costs and additional charges to Customers.

13Payments Between Vendors and Customers

ListIT currently does not process payments between Customers and Vendors through the Customer ordering interface.

Payment arrangements are made directly between the Customer and Vendor.

A Vendor may independently accept payment through cash, bank transfer, UPI or another payment method agreed between the Vendor and Customer, subject to applicable law.

ListIT and WoraCode are not responsible for:

  • collecting Customer payments on behalf of Vendors;
  • holding transaction funds;
  • transferring funds between Customers and Vendors;
  • payment failures;
  • unauthorised payments;
  • payment disputes;
  • chargebacks;
  • refunds relating to payments made directly to Vendors; or
  • losses resulting from payment arrangements made outside ListIT.

Customers should verify Vendor details before making payments directly to a Vendor.

14Shipping and Delivery

Unless ListIT expressly introduces and identifies a ListIT-operated delivery service, shipping and delivery arrangements are solely between the Vendor and Customer.

The Vendor is responsible for communicating:

  • shipping charges;
  • estimated delivery dates;
  • delivery locations;
  • shipping providers; and
  • delivery conditions.

ListIT does not guarantee delivery times or successful delivery of Vendor products.

15Cancellations, Returns and Refunds

Because products are offered and sold by independent Vendors, cancellation, return, replacement and refund policies are determined by the applicable Vendor, subject to applicable law.

Customers should review or request the Vendor's applicable policy before completing a transaction.

Where payment has been made directly to a Vendor, requests for refunds must generally be directed to that Vendor.

Nothing in these Terms is intended to exclude rights that a Customer may have under applicable consumer-protection law.

16Vendor and Customer Disputes

Commercial transactions facilitated through ListIT are principally transactions between Vendors and Customers.

If a dispute arises regarding:

  • product quality;
  • authenticity;
  • quantity;
  • price;
  • payment;
  • delivery;
  • warranty;
  • cancellation;
  • return;
  • replacement; or
  • refund,

the Vendor and Customer should attempt to resolve the matter directly.

ListIT may, at its discretion, provide reasonable technical information or assistance relating to activity conducted through the Service, but ListIT is not required to act as an arbitrator between Vendors and Customers.

Part C

GENERAL TERMS

17Subscriptions and Paid Vendor Features

ListIT may offer free trials, free plans, paid subscriptions or premium features to Vendors.

The applicable price, subscription period and included features will be displayed before purchase.

ListIT may change subscription pricing or plan features from time to time.

Any pricing change affecting an existing paid subscription will be communicated or applied in accordance with applicable law and the terms presented at purchase or renewal.

Vendor subscription payments made to ListIT are separate from payments made by Customers to Vendors for products.

18Free Trials

ListIT may offer promotional or free trial periods.

Trial duration, eligibility and features may vary.

ListIT may modify or discontinue a promotional trial where permitted by applicable law.

At the end of a trial, access to paid functionality may be restricted unless the Vendor purchases an applicable subscription.

19Acceptable Use

Users must not:

  • access ListIT unlawfully;
  • attempt to gain unauthorised access to another Account;
  • interfere with ListIT's servers or infrastructure;
  • introduce viruses, malware or malicious code;
  • scrape or automatically extract data without authorisation;
  • use ListIT to distribute spam;
  • impersonate another person or business;
  • conduct fraudulent transactions;
  • manipulate Orders or platform activity;
  • attempt to bypass security controls;
  • reverse engineer ListIT except where expressly permitted by applicable law; or
  • use ListIT in a way that harms WoraCode, Vendors, Customers or other users.

20Communications

By creating an Account or using relevant ListIT features, you may receive communications necessary for operation of the Service.

These may include:

  • account verification;
  • OTP or authentication messages;
  • security alerts;
  • Order notifications;
  • Account notices;
  • subscription information;
  • service announcements; and
  • important administrative communications.

Marketing communications, where used, will be handled in accordance with applicable law and applicable communication preferences.

21Third-Party Services

ListIT may integrate with or provide links to third-party services, including social networks, messaging applications, cloud providers, analytics providers, communication providers and other services.

For example, Vendors may choose to share their ListIT catalogues through third-party communication or social-media platforms.

Third-party services operate under their own terms and privacy policies.

WoraCode is not responsible for the availability, security, content or independent operation of third-party services.

22Intellectual Property

The ListIT Service, including its software, user interface, design, branding, logos, functionality and original content provided by WoraCode, is owned by or licensed to WoraCode and is protected by applicable intellectual-property laws.

Except for rights expressly granted under these Terms, users receive no ownership rights in ListIT.

"ListIT", its logos and associated branding may not be copied or used in a misleading manner without permission.

23Feedback

If you provide suggestions, ideas or feedback regarding ListIT, you permit us to use that feedback to develop and improve the Service without an obligation to compensate you.

This does not transfer ownership of your Vendor Content to WoraCode.

24Privacy and Personal Data

Use of ListIT is also subject to our Privacy Policy.

The Privacy Policy explains how ListIT collects, uses, stores, shares and protects personal information.

Users should review the Privacy Policy before using ListIT.

Where Vendors receive Customer information through ListIT for purposes such as fulfilling Orders, Vendors must handle that information responsibly and in accordance with applicable privacy and data-protection laws.

Vendors must not use Customer information obtained through ListIT for unlawful purposes or unauthorised spam.

25Service Availability

We aim to provide a reliable Service but do not guarantee uninterrupted or error-free operation.

ListIT may occasionally be unavailable because of:

  • maintenance;
  • software updates;
  • infrastructure failures;
  • telecommunications failures;
  • third-party service interruptions;
  • security incidents; or
  • circumstances beyond our reasonable control.

We may modify, update, replace or discontinue features where reasonably necessary.

26Account Suspension and Termination

ListIT may restrict, suspend or terminate an Account if we reasonably believe that the user:

  • violated these Terms;
  • engaged in fraudulent activity;
  • created material security risks;
  • repeatedly abused the Service;
  • offered prohibited or unlawful products;
  • infringed another person's rights;
  • failed to pay applicable ListIT subscription charges; or
  • created legal or regulatory risk for ListIT or WoraCode.

Where appropriate and reasonably practicable, we may provide notice or an opportunity to remedy the violation.

Users may stop using ListIT at any time. Vendors can initiate account deletion through the deletion option in vendor panel settings. Customers may request account deletion by emailing woracode@gmail.com.

Certain information may be retained where required by applicable law or reasonably necessary for legitimate legal, security, fraud-prevention or record-keeping purposes.

27Disclaimer of Warranties

To the maximum extent permitted by applicable law, ListIT is provided on an "as available" basis.

WoraCode does not warrant that:

  • ListIT will always be uninterrupted;
  • all Service errors will immediately be corrected;
  • every Vendor is trustworthy;
  • Vendor Content is accurate;
  • products offered through Vendor catalogues will meet Customer expectations; or
  • transactions between Vendors and Customers will be successfully completed.

Nothing in this section limits warranties or rights that cannot legally be excluded.

28Limitation of Liability

To the maximum extent permitted by applicable law, WoraCode and ListIT will not be responsible for indirect, incidental, special or consequential losses arising from use of the Service.

In particular, WoraCode is not responsible for losses arising solely from transactions or disputes between independent Vendors and Customers, including issues concerning product quality, delivery, Vendor representations or direct Vendor-Customer payment arrangements.

Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law.

29Indemnification

To the extent permitted by applicable law, a Vendor agrees to indemnify and hold harmless WoraCode and ListIT from third-party claims, liabilities, damages and reasonable costs resulting from:

  • the Vendor's products;
  • unlawful Vendor Content;
  • infringement of third-party intellectual-property rights by Vendor Content;
  • the Vendor's violation of applicable law; or
  • the Vendor's material violation of these Terms.

This provision does not apply to the extent a claim results from WoraCode's own unlawful conduct.

30Changes to ListIT

We may improve, modify or discontinue features of ListIT over time.

Features available through free or paid plans may therefore change.

Where a change materially affects an existing paid Service, we will provide notice where required by applicable law.

31Changes to These Terms

We may update these Terms to reflect changes to:

  • ListIT features;
  • our business model;
  • applicable laws;
  • regulatory requirements; or
  • security and operational practices.

The updated Terms will display a revised "Last Updated" date.

Where required, we will provide additional notice of material changes.

Continued use of ListIT after updated Terms become effective constitutes acceptance of those Terms to the extent permitted by applicable law.

32Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue to apply.

The invalid provision will be interpreted or modified to the minimum extent necessary to make it enforceable where legally permissible.

33No Waiver

Failure by WoraCode to immediately enforce a provision of these Terms does not constitute a waiver of that provision or our right to enforce it later.

34Governing Law

These Terms are governed by the laws of India, without prejudice to any mandatory rights available under applicable consumer-protection law.

Subject to applicable law, disputes relating to these Terms or the ListIT Service shall be subject to the jurisdiction of the competent courts at:

36Entire Agreement

These Terms, together with the ListIT Privacy Policy and any additional terms expressly presented for a particular ListIT feature or subscription, constitute the agreement governing use of the ListIT Service.

By creating a ListIT Account, using the ListIT Service, or submitting an Order through ListIT, you acknowledge that you have read and understood these Terms and agree to be bound by them.
